Disclosure of third-party compensation

1. Potential Compensation

Listing Brokerage has a business relationship with Zillow, Inc. (“Zillow”). Seller’s Property may be marketed using Zillow’s Preview Listing product (“Preview Listing”), a marketing product under which the Property is displayed to consumers on one of the Zillow websites (Zillow or Trulia, collectively the “Zillow Websites”). Listing Brokerage and Listing Agent may be eligible to receive compensation from Zillow if:

  • The buyer submitted an inquiry on the Zillow Websites on one of Listing Brokerage’s properties using Preview Listing (which may include this Property or another property of the Listing Brokerage);
  • Zillow referred that buyer to a Zillow partner agent (an independent buyer’s agent participating in Zillow’s Preferred program);
  • The buyer purchases Seller’s Property using the Zillow partner agent, the transaction closes, and Zillow receives a referral fee from the Zillow partner agent.

If these conditions occur, Zillow will pay Listing Brokerage and Listing Agent a percentage of the referral fee Zillow receives, up to a maximum of 13% of the total buy-side commission amount. This compensation:

  • Is paid by Zillow, not by Seller;
  • Is in addition to any compensation in the Listing Agreement; and
  • Is contingent upon closing.

2. Potential Conflict of Interest

Listing Brokerage and Listing Agent are obligated to perform their agency duties to Seller as required by state law and the Listing Agreement. However, because Listing Brokerage and Listing Agent may be eligible to receive additional compensation as described above, this arrangement may create a potential conflict of interest.

3. Seller Acknowledgment

Seller acknowledges receipt of this disclosure, understands the potential compensation described above, and consents to Listing Brokerage’s and Listing Agent’s participation in this arrangement. Seller authorizes Listing Brokerage to share this form and its contents with Zillow.
